Terms of Service / Allgemeine Geschäftsbedingungen

    Last updated: 2026-08-03

    These Terms govern your use of ChatURP (the "Service"), operated by Maximilian Anton Palm (Bots & Bits, Einzelunternehmen), Gutzkowstraße 4, 10827 Berlin, Germany (the "Provider", "we", "us"). Full operator details: Imprint.

    By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.

    1. Scope and definitions

    1.1 These Terms apply to all contracts concluded through the Service. Conflicting terms of the customer apply only if we have expressly agreed to them in writing.

    1.2 Consumer ("Verbraucher", § 13 BGB) means a natural person who enters into a contract for purposes that are predominantly outside their trade or profession. Business ("Unternehmer", § 14 BGB) means a natural or legal person acting in the exercise of their trade or profession.

    1.3 The Service generates Universal Robots program files (.urp) and related artefacts from natural-language input using large-language models.

    2. Eligibility and account

    2.1 You must be at least 18 and have full legal capacity to enter into a binding contract.

    2.2 You must register an account with accurate information. You are responsible for keeping credentials confidential and for all activity under your account. Notify us at [email protected] of any suspected unauthorised access.

    2.3 We may refuse, suspend, or terminate accounts that violate these Terms, applicable law, or our legitimate operational interests.

    3. Conclusion of contract

    3.1 The presentation of the Service and its pricing on chaturp.eu constitutes a non-binding invitation to treat.

    3.2 You submit a contractual offer by completing the sign-up or checkout flow and clicking the corresponding button ("Create account", "Subscribe", "Pay now"). We accept the offer (a) for the free account by activating your account, or (b) for paid plans by confirming payment via email.

    3.3 The contract language is English. We do not save the individual contract text beyond the audit data required by tax law; you can review the current Terms at /terms at any time.

    3.4 Paid plans are available to both consumers and businesses. Payment and tax are handled by our payment provider, Paddle, acting as merchant of record. Business customers can enter a VAT identification number in Paddle's checkout so that VAT is handled accordingly (e.g. reverse-charge for eligible cross-border EU business customers). Consumers retain their statutory rights, including the right of withdrawal set out at /widerruf.

    4. Service description

    4.1 The Service allows you to generate, edit, and download URP program files using AI assistance. Functionality depends on the active tier (free, Starter, or Pro).

    4.2 Generated programs are advisory drafts, provided "as is". You are solely responsible for reviewing, testing, and validating any program before running it on real robot hardware (see clause 11). This does not affect the statutory warranty for the paid Service (clause 10.1).

    4.3 We may modify, add, or remove features at any time, provided the core paid functionality remains substantially preserved during a billing period.

    5. Acceptable use

    You agree not to:

    • reverse-engineer, decompile, or attempt to extract source code or model weights from the Service;
    • use the Service to build a competing product or train a competing model;
    • submit content that infringes third-party rights, is illegal, defamatory, harassing, malicious, or designed to harm people or property;
    • attempt to bypass usage limits, rate limits, authentication, or abuse-detection mechanisms;
    • automate access in a manner that materially burdens the Service.

    We may suspend access without notice in case of material breach.

    6. Prices, payment, taxes

    6.1 Prices on the Pricing page are in euros and are shown gross, including VAT. The exact VAT rate depends on your location and is calculated at checkout; figures on the site use the German rate of 19% as a reference (net €29 / €49 per month for Starter / Pro).

    6.2 Free tier: 30 one-time credits on signup.

    6.3 Starter tier: €34.51 per month, including VAT (net €29 plus statutory VAT), for 100 credits per billing cycle. The launch discount code LAUNCH50, while it is offered, reduces the first billing period only to €17.26; every subsequent billing period is charged at €34.51 per month.

    6.4 Pro tier: €58.31 per month, including VAT (net €49 plus statutory VAT), for 250 credits per billing cycle. The launch discount code LAUNCH50, while it is offered, reduces the first billing period only to €29.16; every subsequent billing period is charged at €58.31 per month.

    Unused credits do not roll over, for either paid tier.

    6.5 Subscriptions renew automatically on a monthly basis at the then-current price until cancelled.

    6.6 Payment is processed by Paddle.com Market Ltd. as merchant of record. Paddle invoices you, calculates VAT, and remits it to the relevant tax authorities.

    6.7 If a payment fails, we may suspend access until the balance is settled. Statutory remedies remain unaffected.

    6.8 Plan changes: An upgrade takes effect immediately; Paddle charges the prorated price difference for the remainder of the current billing cycle, and your credit allowance is increased by the difference between the two plans' monthly credits, once per billing cycle. A downgrade takes effect at the end of the current billing cycle: nothing is charged for it and no refund is given for the remainder of that cycle, and you keep the higher plan's features and your credit balance until the change takes effect. You may cancel a scheduled downgrade at any time before it takes effect. On cancellation of a subscription, access and any remaining credit balance end on the effective date of the cancellation.

    7. Right of withdrawal (consumers)

    If you are a Consumer (clause 1.2), you have a statutory right of withdrawal under § 312g and §§ 355 ff. BGB. The full notice and a sample withdrawal form are at Right of Withdrawal.

    By starting to use paid subscription credits before the end of the 14-day withdrawal period you expressly request immediate performance and acknowledge that, once the service has been fully performed (i.e. all credits used), the right of withdrawal lapses (§ 356 (4) BGB). If you withdraw during partial use, you owe a pro-rata fee.

    8. Term and termination

    8.1 The contract for the free tier runs indefinitely until you delete your account.

    8.2 Paid subscriptions (Starter and Pro) run for one month and renew until cancelled.

    8.3 You can cancel a paid subscription (Starter or Pro) at any time via Account → Billing → Manage subscription with effect from the end of the current billing period. You may also cancel without logging in using the cancellation form at /kuendigung; we confirm receipt by email.

    8.4 The right of either party to terminate for cause without notice remains unaffected.

    8.5 On termination you may export your data within 30 days; thereafter we delete it subject to statutory retention duties (see Privacy Policy clause 2).

    9. Intellectual property

    9.1 We grant you a non-exclusive, non-transferable, worldwide, revocable licence to use the Service during the term of your account.

    9.2 All software, designs, prompts engineered by us, and aggregated non-personal model outputs remain our property and that of our licensors.

    9.3 Programs you generate are yours to use, modify, and distribute freely, including commercially. Generated content is not subject to copyright by us; you take it as-is.

    9.4 You grant us a worldwide, royalty-free licence to host, store, and process the prompts and programs you submit, solely as necessary to operate and improve the Service. We do not use your inputs or outputs to train AI models (see Privacy Policy clause 2).

    10. Warranty (Gewährleistung)

    10.1 For paid services rendered, statutory warranty rights apply.

    10.2 For free services, our liability is limited to gross negligence and wilful misconduct.

    10.3 For consumers, the statutory limitation periods apply without shortening. For businesses (Unternehmer, § 14 BGB), the limitation period for warranty claims is 12 months from delivery, where statutorily permissible.

    11. Limitation of liability

    11.1 We are liable without limitation for wilful misconduct, gross negligence, injury to life, body, or health, under the Product Liability Act (ProdHaftG), and for the breach of guarantees.

    11.2 For slight negligence we are liable only for the breach of a material contractual obligation (cardinal duty) - that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer regularly relies and may rely. In this case our liability is limited to the foreseeable damage typical for this type of contract.

    11.3 In any other case liability is excluded.

    11.4 You are solely responsible for any physical or financial damage arising from the execution of programs generated by the Service on real robots or production lines. Always validate generated programs in a safe simulation environment (e.g. URSim) before deployment.

    12. Data protection

    Processing of personal data is governed by our Privacy Policy.

    13. Changes to these Terms

    13.1 We may update these Terms in writing or by email. Material changes that affect your rights or obligations (for example: price increases, changes to liability, expansion of data uses, new restrictions on permitted use) require your active acceptance before they apply to you: we will present the updated Terms on your next sign-in and you must tick a confirmation checkbox to continue using the paid Service. Without your active acceptance you may continue to use the Service under the previous Terms until the end of the current billing period, after which the subscription ends.

    13.2 Non-material changes - such as editorial corrections, clarifications, updates to subprocessor lists, or changes that are purely beneficial to you - take effect 14 days after we notify you by email. You may terminate the contract within this 14-day period if you object to the change.

    13.3 The previous "silent-assent" wording (deemed acceptance after 14 days without objection) is intentionally not used; it is considered unfair against consumers under § 308 Nr. 5 BGB and BGH XI ZR 26/20 (27 April 2021).

    14. Final provisions

    14.1 Governing law: German law, with the exclusion of the UN Convention on Contracts for the International Sale of Goods. For Consumers resident in the EU, mandatory consumer-protection provisions of the country of habitual residence remain unaffected.

    14.2 Place of jurisdiction: insofar as you are a merchant, a legal person under public law, or a special fund under public law, the exclusive place of jurisdiction is our registered office. Otherwise statutory venue applies.

    14.3 Consumer arbitration: we are not obliged and do not intend to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

    14.4 Severability: should any provision of these Terms be or become invalid, the remaining provisions remain in force; the invalid provision is replaced by the statutory rule.
